This won't cost me very much at all BTW!

I have a Athlon 2400xp 266fsb with one TwinMos 512mb PC2700 and one TwinMos 512mb PC3200.

I was thinking of upgrading my CPU to a Barton 3200 400fsb and replacing my PC2700 with another TwinMos 512mb PC3200.

I'll be selling my 2400xp CPU and 512mb PC2700 to a friend of mine.

Would the speed increase B worth it? Would it make much difference?

My current motherboard will support the new CPU and I have a ATI 9800 128mb pro GPU.

Not really, wait until you can move to a new architecture, get a 64-bit CPU next! The small increase in FSB would make the biggest change for you but even then it wouldn't be worth it just for that, especially if your mobo doesn't take advantage. Still, wait for 64-bit, AMD are pulling their prices down FAST.
